Desktop Font License Agreement

This Desktop Font License Agreement (the "Agreement") is entered into between Alison Emmel d/b/a AJ Type ("Licensor," "we," or "us") and the individual or entity accepting this Agreement ("Licensee," "you," or "your").
"Font Software" means the digital font files, associated software, and related documentation provided by AJ Type.
"Licensed Fonts" means the specific typefaces purchased by you as identified in your purchase order (the "Order").
"Licensed CPUs" means the number of central processing units or computing devices on which you are authorized to install the Font Software, as specified in your Order.
By downloading, installing, or using the Font Software, you agree to be bound by the terms of this Agreement.
2. Grant of License
Subject to the terms of this Agreement and payment of the applicable license fee, AJ Type grants you a non-exclusive, non-transferable, limited license to install and use the Font Software on the number of Licensed CPUs specified in your Order, solely for the permitted uses described in Section 3. This license does not grant you any ownership rights in the Font Software or Licensed Fonts.
3. Permitted Uses
The Desktop License permits the following uses:
- Installing the Font Software on the number of Licensed CPUs specified in your Order.
- Creating printed documents, publications, logos, visual identities, packaging, and other static design materials.
- Producing rasterized image files (such as JPEG, PNG, or TIFF) in which the Licensed Fonts appear as static, non-extractable images.
- Embedding the Licensed Fonts in documents (such as PDF files) in a secured, read-only mode that permits viewing and printing only, and from which the Font Software cannot be extracted or reused.
- Sending a copy of the Font Software to a print service provider or production vendor solely for output of your work, provided that the vendor does not retain the Font Software after the job is complete, and you inform the vendor of this restriction.
- Registering a trademark or service mark that incorporates a design created using the Licensed Fonts, subject to you owning the mark and ensuring the font files are not submitted to or accessible by any trademark authority.
4. Restrictions
You may not, and may not permit others to:
- Install or use the Font Software on more CPUs than the number of Licensed CPUs specified in your Order.
- Copy, redistribute, sublicense, sell, rent, lease, or transfer the Font Software or any rights in it to any third party.
- Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Font Software, including by use of any artificial intelligence, machine learning, or automated system.
- Use the Font Software to create or contribute to a competing font product or font library.
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in the Font Software.
- Use the Licensed Fonts as a web font (via @font-face or similar technology) without purchasing a separate Web License from AJ Type.
- Embed the Font Software in a mobile application, game, or software product without purchasing a separate App License from AJ Type.
- Use the Font Software or the name of the Licensed Fonts to imply endorsement by AJ Type of any product or service.
5. Number of Licensed CPUs
The Font Software may be installed on the number of CPUs specified in your Order. If you wish to install the Font Software on additional CPUs beyond your licensed quantity, you must purchase an upgraded or additional license from AJ Type. AJ Type reserves the right to verify compliance with this limit upon reasonable notice.
6. Intellectual Property
The Font Software and Licensed Fonts are and remain the exclusive intellectual property of AJ Type. This Agreement transfers no ownership, title, or intellectual property rights to you. You acknowledge that the Font Software is protected by applicable copyright and other intellectual property laws. You agree not to take any action that infringes, impairs, or challenges AJ Type's intellectual property rights.
7. Payment and Refunds
The license fee is non-refundable. AJ Type reserves the right to update its pricing at any time without notice. Pricing changes do not affect existing licenses already purchased.
8. Representations and Indemnification
You represent and warrant that you are authorized to enter into this Agreement and that your use of the Font Software will comply with all applicable laws. You agree to indemnify, defend, and hold harmless AJ Type and its successors, assigns, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your breach of this Agreement or your use of the Font Software.
9. Disclaimer of Warranties
THE FONT SOFTWARE IS PROVIDED "AS IS." TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AJ TYPE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. AJ TYPE DOES NOT WARRANT THAT THE FONT SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT ITS OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AJ TYPE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE FONT SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL AJ TYPE'S TOTAL LIABILITY EXCEED THE LICENSE FEE YOU PAID FOR THE APPLICABLE LICENSED FONTS.
11. Termination
This Agreement is effective until terminated. AJ Type may terminate this Agreement immediately and without notice if you breach any of its terms. Upon termination, you must cease all use of the Font Software, delete all copies from your systems, and certify such deletion in writing upon request. Sections 6, 8, 9, 10, and 13 survive termination.
12. Updates and Amendments
AJ Type reserves the right to amend this Agreement at any time. The version of this Agreement in effect at the time of your purchase governs your license. Continued use of the Font Software following notice of an amended Agreement constitutes your acceptance of the updated terms.
13. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York.
14. Miscellaneous
Severability. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
No Waiver. Failure by either party to enforce any provision of this Agreement shall not constitute a waiver of that party's right to enforce it in the future.
Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the Font Software and supersedes all prior or contemporaneous communications, representations, or agreements.
Assignment. You may not assign or transfer this Agreement or any rights hereunder without the prior written consent of AJ Type. Any attempted assignment in violation of this provision is void.
No Partnership. Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship between the parties.
Web Font License Agreement

This Web Font License Agreement (the "Agreement") is entered into between Alison Emmel d/b/a AJ Type ("Licensor," "we," or "us") and the individual or entity accepting this Agreement ("Licensee," "you," or "your").
"Font Software" means the web font files (including WOFF, WOFF2, or other web-optimized formats) and associated documentation provided by AJ Type.
"Licensed Fonts" means the specific typefaces purchased by you as identified in your purchase order (the "Order").
"Licensed Domain(s)" means the website domain(s) on which you are authorized to use the Font Software, as specified in your Order.
"Monthly Pageviews" means the average number of pages served per calendar month on the Licensed Domain(s) that load or reference the Font Software.
By downloading, installing, or using the Font Software, you agree to be bound by the terms of this Agreement.
2. Grant of License
Subject to the terms of this Agreement and payment of the applicable license fee, AJ Type grants you a non-exclusive, non-transferable, limited license to use the Font Software on the Licensed Domain(s) specified in your Order, subject to the Monthly Pageview limit specified in your Order, solely for the permitted uses described in Section 3. This license does not grant you any ownership rights in the Font Software or Licensed Fonts.
3. Permitted Uses
The Web License permits the following uses:
- Hosting the Font Software on your own server, a CDN you control, or a third-party font hosting service, solely for delivery to the Licensed Domain(s).
- Displaying the Licensed Fonts on pages served from the Licensed Domain(s) via @font-face or equivalent CSS technology, within the Monthly Pageview limit specified in your Order.
- Using the Licensed Fonts on websites for commercial or non-commercial purposes, including e-commerce, marketing sites, editorial publications, and digital advertising served from the Licensed Domain(s).
- Using the Licensed Fonts within social media posts, email newsletters, and digital advertisements associated with and linked to the Licensed Domain(s).
4. Restrictions
You may not, and may not permit others to:
- Use the Font Software on any domain not specified in your Order without purchasing an additional or upgraded license.
- Exceed the Monthly Pageview limit specified in your Order without upgrading to the appropriate license tier.
- Make the Font Software files directly accessible to end users for download.
- Use the Font Software in a manner that allows third parties to extract, copy, or reuse the font files.
- Sublicense, sell, rent, lease, transfer, or redistribute the Font Software to any third party.
- Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Font Software, including by use of any artificial intelligence, machine learning, or automated system.
- Use the Font Software in a native mobile application or desktop application without purchasing a separate App or Desktop License from AJ Type.
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in the Font Software.
- Use the Font Software or the name of the Licensed Fonts to imply endorsement by AJ Type of any product or service.
5. Pageview Limits and Domain Scope
Your web license is valid for the Monthly Pageview tier and Licensed Domain(s) specified in your Order. Subdomains of a Licensed Domain are included unless your Order specifies otherwise.
You are responsible for monitoring your own pageview usage. If your Monthly Pageviews consistently exceed the licensed tier, you must upgrade your license within thirty (30) days. AJ Type reserves the right to request usage data or audit compliance upon reasonable notice.
If you wish to use the Font Software on additional domains, you must purchase an additional license for each domain.
6. Font File Security
You agree to take reasonable technical precautions to prevent unauthorized access to or redistribution of the Font Software. This includes, where feasible, implementing HTTP referrer restrictions, serving font files only to authorized domains, and avoiding exposure of raw font file URLs in publicly accessible locations.
7. Intellectual Property
The Font Software and Licensed Fonts are and remain the exclusive intellectual property of AJ Type. This Agreement transfers no ownership, title, or intellectual property rights to you. You acknowledge that the Font Software is protected by applicable copyright and other intellectual property laws. You agree not to take any action that infringes, impairs, or challenges AJ Type's intellectual property rights.

The license fee is non-refundable. AJ Type reserves the right to update its pricing at any time without notice. Pricing changes do not affect existing licenses already purchased.

10. Disclaimer of Warranties
THE FONT SOFTWARE IS PROVIDED "AS IS." TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AJ TYPE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. AJ TYPE DOES NOT WARRANT THAT THE FONT SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT ITS OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AJ TYPE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE FONT SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL AJ TYPE'S TOTAL LIABILITY EXCEED THE LICENSE FEE YOU PAID FOR THE APPLICABLE LICENSED FONTS.
12. Termination
This Agreement is effective until terminated. AJ Type may terminate this Agreement immediately and without notice if you breach any of its terms. Upon termination, you must immediately cease all use of the Font Software, remove it from all servers and CDNs under your control, and certify such removal in writing upon request. Sections 7, 9, 10, 11, and 14 survive termination.
13. Updates and Amendments
AJ Type reserves the right to amend this Agreement at any time. The version of this Agreement in effect at the time of your purchase governs your license. Continued use of the Font Software following notice of an amended Agreement constitutes your acceptance of the updated terms.
14. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York.

Early Access Font License Agreement

This Early Access Font License Agreement (the "Agreement") is entered into between Alison Emmel d/b/a AJ Type ("Licensor," "we," or "us") and the individual or entity accepting this Agreement ("Licensee," "you," or "your").
"Font Software" means the early access version of the digital font files and associated documentation provided by AJ Type, as identified in your purchase order (the "Order").
"Licensed Fonts" means the specific typeface(s) purchased by you as identified in your Order, in the version available at the time of purchase (the "Licensed Version").
"Full Release" means the completed, commercially released version of the typeface family, as designated by AJ Type at its sole discretion.
By downloading, installing, or using the Font Software, you agree to be bound by the terms of this Agreement.
2. Grant of License
Subject to the terms of this Agreement and payment of the applicable flat license fee, AJ Type grants you a non-exclusive, non-transferable, unlimited-CPU desktop license to install and use the Font Software on any number of computing devices owned or controlled by you, solely for the permitted uses described in Section 3. This license does not grant you any ownership rights in the Font Software or Licensed Fonts.
3. Permitted Uses
The Early Access License permits the following desktop uses:
- Installing and using the Font Software on an unlimited number of CPUs owned or controlled by you.
- Creating printed documents, publications, logos, visual identities, packaging, and other static design materials.
- Producing rasterized image files (such as JPEG, PNG, or TIFF) in which the Licensed Fonts appear as static, non-extractable images.
- Embedding the Licensed Fonts in documents (such as PDF files) in a secured, read-only mode that permits viewing and printing only, and from which the Font Software cannot be extracted or reused.
- Sending a copy of the Font Software to a print service provider or production vendor solely for output of your work, provided that the vendor does not retain the Font Software after the job is complete.

- Use the Font Software or the name of the Licensed Fonts to imply endorsement by AJ Type of any product or service.
5. Early Access Nature of the Font Software
You acknowledge that the Font Software is an in-development, early access release. It may be incomplete, contain errors, lack certain glyphs or features, and may differ substantially from the eventual Full Release. AJ Type makes no representations regarding the timeline, scope, or feature set of any future release.
AJ Type is under no obligation to provide updates to the Licensed Version during the early access period, though updates may be made available at AJ Type's discretion.
6. Free Upgrade to Full Release
Upon the Full Release of the typeface family, AJ Type will provide you with a complimentary upgrade to the standard desktop license for the Full Release at no additional charge. The upgraded license will be governed by the AJ Type Desktop Font License Agreement in effect at the time of the Full Release.
To receive your upgrade, you must be reachable at the email address associated with your original Order. AJ Type will make reasonable efforts to notify early access licensees of the Full Release. AJ Type is not responsible for failed delivery due to outdated contact information.
The upgrade entitlement is personal to the original purchaser and is non-transferable.
7. Intellectual Property
The Font Software and Licensed Fonts are and remain the exclusive intellectual property of AJ Type. This Agreement transfers no ownership, title, or intellectual property rights to you. You acknowledge that the Font Software is protected by applicable copyright and other intellectual property laws. You agree not to take any action that infringes, impairs, or challenges AJ Type's intellectual property rights.
8. Incorporation of Desktop License Terms
Except as expressly modified by this Agreement, the terms of the AJ Type Desktop Font License Agreement apply to your use of the Font Software and are incorporated herein by reference. In the event of any conflict between this Agreement and the Desktop Font License Agreement, the terms of this Agreement shall control.
9. Payment and Refunds
The early access license fee is non-refundable. AJ Type reserves the right to update its pricing for future early access releases at any time without notice.
10. Disclaimer of Warranties
THE FONT SOFTWARE IS PROVIDED "AS IS" AND IN ITS CURRENT EARLY ACCESS STATE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AJ TYPE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOU ACKNOWLEDGE THAT EARLY ACCESS FONT SOFTWARE MAY CONTAIN ERRORS OR INCOMPLETE FEATURES.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AJ TYPE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE FONT SOFTWARE. IN NO EVENT SHALL AJ TYPE'S TOTAL LIABILITY EXCEED THE EARLY ACCESS LICENSE FEE YOU PAID.
12. Termination
This Agreement is effective until terminated. AJ Type may terminate this Agreement immediately and without notice if you breach any of its terms. Upon termination, you must cease all use of the Font Software, delete all copies, and certify such deletion in writing upon request. Your upgrade entitlement under Section 6 is forfeited upon termination for breach. Sections 7, 8, 10, 11, and 14 survive termination.

AJ Type reserves the right to amend this Agreement at any time. The version in effect at the time of your purchase governs your license.
14. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York.

No Partnership. Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship between the parties.
